MASTER TERMS & CONDITIONS

Effective Date: December 1, 2025

These Terms & Conditions (“Agreement”) govern all purchases, enrollments, subscriptions, courses, memberships, programs, digital products, and live events offered by MDRN Creative Group Inc or Photo Booth Mastery (“Company,” “MDRN,” “we,” or “us”).

By purchasing, enrolling, subscribing, or accessing any Company offering (“Program” or “Services”), you agree to be legally bound by this Agreement.

 

1. PROGRAM TYPES COVERED

This Agreement applies to:

  • Online courses

  • Fixed-term programs

  • Payment plan enrollments

  • Subscription memberships (including THRIVE and GROWTH)

  • Digital products

  • In-person events, workshops, and masterclasses

  • Coaching programs

  • Any bonus or supplemental material

Program-specific terms (duration, pricing, access period) are disclosed at checkout and incorporated into this Agreement.

 

2. NO REFUND POLICY

All sales are final.

All payments are:

  • Non-refundable

  • Non-transferable

  • Not subject to exchange

By enrolling, you commit to the full payment obligation selected at checkout.

You agree not to initiate chargebacks or payment disputes for services rendered. Access to materials constitutes delivery of services.

 

3. PAYMENT PLANS & FINANCIAL OBLIGATIONS

3.1 Binding Commitment

If you enroll in a payment plan with a fixed term:

  • You are legally responsible for the full contract amount.

  • Early cancellation, withdrawal, non-participation, business closure, or dissatisfaction does not eliminate payment obligations.

  • Payment plans do not reduce total contractual liability.

3.2 Automatic Billing Authorization

You authorize MDRN to charge your payment method for:

  • Initial purchase

  • Recurring subscription charges

  • Installment payments

  • Approved repayment arrangements

3.3 Failed Payments

If a payment fails:

  • The system may attempt up to five (5) retries.

  • Access may be suspended immediately.

  • You are responsible for updating payment information promptly.

3.4 Default & Accelerated Balance

You are considered in default after five (5) failed payment attempts.

Upon payment failure:

  • Access is revoked.

Upon payment default:

  • The remaining contract balance becomes immediately due (“accelerated balance”).

  • Continued monthly payments are no longer an option unless approved in writing.

3.5 Collections

If an account remains unpaid thirty (30) days after initial payment due date:

  • The account may be referred to a third-party collections agency.

  • You are responsible for all associated legal, administrative, interest, and collection fees.

 

4. SUBSCRIPTION MEMBERSHIPS

4.1 Billing

Subscriptions renew automatically unless canceled prior to renewal.

Cancellations must be submitted in writing to:

Cancellations take effect at the end of the current billing cycle (Eastern Time).

No partial refunds are issued.

4.2 Subscription Default

If subscription payments fail:

  • Access is suspended.

  • After five failed attempts, the subscription may be canceled.

  • For fixed-term subscriptions, accelerated balance terms apply.

5. ACCESS & LICENSE

5.1 Single License

Each purchase grants one (1) non-transferable license per company.

5.2 Login Security

You are responsible for safeguarding login credentials and all activity under your account.

5.3 Prohibited Conduct

You may not:

  • Share access outside your company

  • Sell or transfer access

  • Copy, reproduce, or distribute materials

  • Record or screenshot protected environments

  • Reverse engineer proprietary systems

Violation may result in immediate termination without refund and accelerated balance enforcement.

 

6. INTELLECTUAL PROPERTY

All materials, systems, templates, videos, frameworks, trademarks, and proprietary processes are the exclusive intellectual property of MDRN Creative Group Inc.

Unauthorized use may result in legal action.

 

7. COMMUNITY & CONFIDENTIALITY

If your Program includes access to coaching calls or a private community:

You agree to:

  • Maintain strict confidentiality

  • Not share screenshots or recordings

  • Act professionally and respectfully

  • Not solicit other members

Violations may result in immediate removal without refund.

 

8. ACCESS DURATION

8.1 Subscription Programs (THRIVE & GROWTH)

Access to:

  • Training materials

  • Coaching calls

  • Community spaces

  • Updates

Is available only while membership remains active.

Access ends at the end of the billing cycle upon cancellation or default.

8.2 Fixed-Term Programs

Programs such as:

  • The Corporate Hustle

  • Scale

  • The C.A.T. Wedding Method

  • The Bankable Bookings Bundle

  • The Boxing Day Bundle

Include:

  • Lifetime access to training content (for the lifetime of the product)

  • Twelve (12) months of group coaching calls (Scale only)

  • Twelve (12) months of community access

Community and coaching access expire after twelve months unless renewed.

8.3 Lifetime Access Definition

“Lifetime access” refers to the lifetime of the product, not the lifetime of the purchaser. The Company may modify or discontinue a product at its discretion.

 

9. IN-PERSON EVENTS

Event tickets:

  • Are valid for one attendee

  • Are non-refundable

  • Cover attendance only (travel not included)

Company liability is limited to the amount paid for registration.

 

10. DISCLAIMERS

10.1 Educational Purposes Only

Programs are educational in nature and do not constitute legal, financial, tax, or professional advice.

10.2 No Earnings Guarantee

We do not guarantee revenue, bookings, profit, growth, or specific results.

Your success depends on your implementation and effort.

 

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Company liability shall not exceed total fees paid.

  • Company is not liable for indirect, incidental, special, or consequential damages.

Services are provided “as is” without warranties of any kind.

 

12. INDEMNIFICATION

You agree to indemnify and hold harmless MDRN Creative Group Inc., its directors, employees, contractors, and affiliates from any claims arising from:

  • Your participation

  • Your misuse of materials

  • Your business decisions

  • Your breach of this Agreement

 

13. TERMINATION

The Company may terminate access immediately for:

  • Non-payment

  • Breach of confidentiality

  • Misuse of intellectual property

  • Community violations

  • Harassment or unethical conduct

Termination does not cancel financial obligations.

 

14. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of the Province of Ontario, Canada.

All disputes shall be resolved exclusively in the courts of Ottawa, Ontario.

 

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes prior representations.

Modifications must be in writing.

 

16. ACKNOWLEDGMENT

By completing checkout, you acknowledge that:

  • You have read and understood this Agreement.

  • You are entering into a binding financial contract.

  • You authorize recurring charges where applicable.

  • You understand accelerated balance enforcement.

  • You accept the no-refund policy.

  • You intend to be legally bound.
